About these terms
These terms govern your use of ifdig.com (the "site") and the general framework for engaging IF Digital services. They are written for clarity; the legally-binding contract for any paid engagement is the Statement of Work (SOW) you sign, which takes precedence wherever there is overlap.
Using the site
You may:
- Read, share, and link to anything published here.
- Quote up to 300 words from any article with attribution and a link.
- Use our pricing ranges, frameworks, and methodologies in your own work.
You may not:
- Republish full articles without written permission.
- Scrape the site for AI training without disclosing it (and asking — see our llms.txt).
- Misrepresent yourself as IF Digital staff or affiliated.
- Attempt to access non-public parts of the site or our systems.
Engagement basics
When you become a client, the SOW we both sign contains the binding terms for that engagement. General principles we apply across all engagements:
- Fixed-scope SOWs for build engagements; no hourly billing.
- Monthly retainers for ongoing services (ads management, SMM); 30 days written notice to cancel.
- Discovery sprints are pre-paid and refundable in the first 24 hours.
- Ownership: code, designs, ad accounts, and CMS credentials all belong to the client once final invoice is settled.
- Confidentiality: mutual NDA standard for any engagement above USD 5,000.
Payment
- Currency: USD by default; CAD by request for Canadian clients.
- Payment methods: ACH, wire, Stripe (card or bank). No crypto.
- Build engagements: milestone-based, typically 30/30/40 split.
- Retainers: billed on the 1st of each month, due net-15.
- Late fee: 2% per month on balances 30+ days overdue, after written notice.
Refunds and walk-aways
- Discovery sprints are refundable in the first 24 hours after kickoff.
- Work shipped is non-refundable, but we will not invoice for work not shipped.
- If we decide mid-engagement that we cannot deliver, we refund the unspent portion and provide a written handoff document.
- If you cancel a retainer mid-month, we work through the notice period and bill normally. Nothing pro-rated.
Liability cap
Our maximum liability for any engagement is the total fees paid to us for that engagement in the prior 12 months. We carry professional indemnity insurance; details on request when contracting.
Intellectual property
- All deliverables (code, design files, written content) transfer to the client on final payment.
- We retain rights to general methodologies, frameworks, and internal tools used to produce the deliverables.
- We may reference engagements in our portfolio in anonymized form. Named case studies require explicit consent.
Disputes
We try to resolve disputes directly first. If we cannot, mediation in Ottawa, Ontario, Canada under Canadian commercial mediation rules. Governing law: Ontario, Canada.
Changes
We may update these terms occasionally. Material changes will be announced via a banner on the site for 30 days. Continued use of the site after a change means acceptance of the new terms.
